These terms apply to the website and to quotations, orders and contracts supplied by Valves4You Ltd (the “Company”), registered in England and Wales under company number 16509287, with registered office at RSS 124 Atherton Way, Taylor Holme Industrial Estate, Bacup, Lancashire, OL13 0LE.
Website information
The website provides general information about industrial valves, actuators, accessories and sourcing services. Product descriptions, images, availability and guide information are indicative and may change. Technical information must not be treated as a substitute for confirming suitability for the intended application.
Terms and Conditions of Sale
1. Definitions
“Customer” means any person, firm or company that purchases goods or services from the Company.
2. Conditions
These conditions apply to and are incorporated into orders, contracts, quotations and tenders for the supply and sale of goods or services by the Company. They supersede terms contained in a Customer’s order unless otherwise agreed in writing by the Company. Submitting an enquiry does not create a contract; a contract is formed only when the Company confirms acceptance in writing.
3. Quotations
Quotations are based on material and labour costs prevailing on their date. Unless stated otherwise, a quotation may be revised if it is not accepted within 30 days and may be withdrawn before written acceptance. Clerical or typographical errors may be corrected. Quotations remain subject to availability and technical confirmation.
4. Prices and VAT
Orders will be charged at prices current at the time of delivery unless a written quotation states otherwise. Prices exclude VAT, carriage, duties and installation unless expressly included.
5. Accounts and payment
Credit accounts are opened at the Company’s discretion and may be subject to satisfactory references and a credit limit. Otherwise, payment must accompany the order. Where credit is agreed, invoices are payable by the last day of the month following the invoice month unless different written terms apply. Credit facilities may be withdrawn. The Company may charge overdue interest at 2% per year above the prevailing UK clearing-bank base lending rate, without limiting any other available remedy.
6. Description, quality and specification
Illustrations, descriptions, weights and technical data in catalogues, price lists or website materials are intended as general guidance unless expressly incorporated into a written quotation or contract. The Customer is responsible for providing accurate information about the medium, concentration, pressure, temperature, size, connection, materials, actuation, environment and required approvals. Final product selection and installation must be checked by a suitably competent person.
7. Goods guarantee
At its option, the Company will replace affected goods or refund their purchase price where the goods do not correspond with an agreed written identifying description, are unfit for a particular purpose expressly confirmed in writing by the Company, or prove defective and unfit for their ordinary purpose within 12 months of delivery. This clause does not limit rights or liabilities that cannot lawfully be excluded.
8. Supply of services
The Company will provide services with reasonable skill and care. If a defect caused by a failure to exercise such skill and care occurs within 12 months after completion, the Company will take reasonable steps to remedy it.
9. Limitation of liability
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, title to goods, liability under applicable product-safety law, or any liability that cannot lawfully be excluded. Subject to those exceptions, the Company is not liable for indirect or consequential loss or for losses caused by reliance on unconfirmed website information. Specific written terms supplied with a quotation or order take precedence where they conflict with the website provisions.
10. Tests and inspection
Special tests, or tests attended by the Customer or its representative, will be charged unless otherwise agreed in writing. If the Customer or representative does not attend after seven days’ notice of the place and time, the tests may proceed and will be treated as having been carried out in their presence.
11. Passing of risk and title
Risk passes to the Customer on delivery. Title remains with the Company until all sums due under the relevant contract have been paid in full. Until title passes, the Customer must keep the goods identifiable and in satisfactory condition. If payment is overdue or the Customer becomes insolvent, the Company may withdraw permission to use or resell the goods and, where lawful, enter the Customer’s premises to recover them.
12. Delivery
Delivery dates are estimates and time is not of the essence unless agreed in writing. Where delivery is offered to a nominated site, delivery is as near as a safe hard road permits; the Customer must provide any labour or machinery needed for unloading or stacking. The Company is not responsible for delay caused by events outside its reasonable control, including fire, flood, transit disruption, strikes or lockouts.
13. Returns
Returns are accepted subject to the goods being unused and in resalable condition. To avoid delay or charges, the Customer should request a return within 14 days after receiving the goods by emailing the order number and reason for return. Acceptance and any applicable collection or restocking charge will be confirmed before goods are sent back.
14. Cancellation
The Company may charge the Customer for costs already incurred on a cancelled order.
15. Examination of goods
Goods must be examined promptly on delivery. Transit damage or loss must be reported within two working days. Rejection on other grounds must be communicated within ten working days. These reporting periods do not remove any mandatory rights that apply.
16. Carriage
Carriage is invoiced at the Company’s prevailing rates unless expressly excluded in writing. The same approach applies to part deliveries requested by the Customer.
17. Overseas contracts
Additional conditions, duties, documentation and delivery terms may apply to overseas contracts and will be confirmed in the quotation or order.
Website use and intellectual property
Website text, layout and original materials belong to Valves4You Ltd or its licensors. Manufacturer names, product images and trade marks remain the property of their respective owners. You must not misuse the website, attempt unauthorised access, introduce malicious software or use its content unlawfully.
Governing law
These terms and contracts governed by them are subject to the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory rights that apply.
